Is Corporate Governance in step with Business – Help or Hindrance?

The Corporate Governance Code in many jurisdictions, including Singapore, are under review. At the same time, exchanges are struggling to attract new listings globally. Many exchanges are reducing the burden of quarterly reporting where some are contemplating dual-class shares or making exceptions to listing requirements to attract large listings like Saudi Aramco. Therefore, the burning question is whether the need to do business impacts on good governance or are corporate governance standards improving?


What then is the role of stock exchanges and regulators in Asia in standard-setting, supervision and enforcement of disclosure obligations? Is there a compromise in standards in preference for more listings? How do corporations choose where they list and what factors do they consider? How is corporate governance fairing with evolving business models and facilitating innovation? Is there a mismatch in existing corporate governance codes to encourage innovation? Correspondingly, many existing businesses are complaining about the rising cost of compliance and putting some companies off listing on an exchange. Is there a dilemma? Should there be a “one size fits all” standard of corporate governance or would it be better tiered, depending on the size, type of organisation, stage of development and where it is in the lifecycle?

Is Corporate Governance in step with Business - Help or Hindrance?  The answers can be found through stakeholder engagement and listening to the voices of stakeholders.  The Singapore Code of Corporate Governance and many governance codes are being amended to promote greater stakeholder engagements and giving stakeholders a voice at the board table.  In this presentation, the speaker will share how factors such as fast-changing technology, social media and sustainability are driving companies to engage and communicate more with stakeholders to ultimately evidence their corporate purpose, license to operate and how they should be governed.

Growing de-equitisation and delisting of companies - Its Impact on Stakeholders

Recent trends, globally, has seen a move by companies to do more share buy backs, M&As and delisting from exchanges. Many companies feel that the market is not pricing equity relative to the valuations, coupled with low interest rates, makes de- equalisation attractive. With expected increase in interest rates, how would this affect companies? Buy-backs are also sometimes used as a tax-efficient method of returning money to shareholders that would otherwise be paid as dividends. How would this affect the market in the long term? Is this trend healthy for the market? How would minority interest be protected? As shareholders of a delisted company, is there sufficient transparency for shareholders to make informed decisions? How do these delisted companies keep shareholders updated as they are no longer subjected to the continuous disclosure required by the SGX Listing Rules? Increasingly, companies both listed and unlisted are finding it easier to raise funds from alternative funding sources like private equity and institutional investors. Are unlisted companies obliged to adhere to governance codes?

The growth of private equity - its impact on corporate governance

The entry of a private equity provider affects historically-developed positions and interactions between shareholders, board of directors and management. In other words, it impacts the developed corporate governance model. After all, a private equity investment in a company’s capital inherently affects the ownership structure in this portfolio company and alters the power balance among shareholders. In all likelihood, it also has an impact on the board composition and thus it’s functioning. Moreover, it could also influence the responsibilities and questions asked of management. As a listed company, how then would you choose the right private equity partner? How would the Board assign decisions right across shareholders and management? Should private equity representative be allocated board directorship? How to access such requests independently? How do the company and board interact with private equity providers?

74% of Singapore CEOs surveyed in the KPMG Global CEO Outlook expressed that their business is aiming to be the disruptor.

To survive in this era of disruption, they need to transform their business to adopt the latest in digital and technology developments. While many have adopted disruptive technologies such as big data, predictive analytics, process robotics, machine learning and artificial intelligence to enhance operational efficiencies and value creation, there are many new areas that are continuously emerging, such as blockchain digital wallets. However, CEOs should not feel alone in facing these challenges. The Board also plays a fundamental role in setting the right corporate governance to enable the company to seize opportunities and manage potential (downside) risks.

This session will cover the key aspects of corporate governance that companies need to get right to achieve success, including:
