Extra Ordinary General Meeting

NOTICE

NOTICE IS HEREBY GIVEN That an Extra Ordinary General Meeting will be held on
 
9 March 2015 (Monday) at 7.00pm
at MND Auditorium, MND Building Annex A, No.9 Maxwell Road, Singapore 069112

 

AGENDA FOR THE MEETING

To approve the amendments to SIAS Constitution as follows:

  1. To amend clauses 11.2 (i) and 11.6 to provide for any change in the Management Committee to be notified to the Commissioner of Charities within two (2) weeks of the change.
     
  2. To amend clause 11.2 (ii) to provide for a Nomination Committee to have established written terms of reference.
     
  3. To amend clause 11.8 to authorize the Management Committee to approve monthly expenditure not exceeding $300,000 per month and for the Management Committee to extend the amount by up to $200,000 per month, subject to a majority vote of the Management Committee.
     
  4. To include clause 11.11 to provide for the establishment of an Audit Committee and Remuneration Committee with written terms of reference.
     
  5. To include clause 11.17 to provide for any instance whereby any member of the Management Committee has an interest, direct or indirect, in any transaction, matter or project to disclose the nature of the interest before the discussion and not to participate in the discussion and to withdraw from the meeting.
     
  6. To amend clauses 12.11, 14.4, 14.5, and 17 to provide for the notification to the Commissioner of Charities.
     
  7. To amend clause 20.2 to 21.2 and to provide for remaining funds will be donated to charitable organisations with similar objects in Singapore which are registered under the Charities Act as the members of the Association may determine at the General Meeting.
     
  8. To amend clause 20.3 to 21.3 and to provide for the notification to the Commissioner of Charities.
     
  9. To insert clause 20 to provide for the event that the Association ceases to be a registered charity under the Charities Act, all debts, liabilities legally incurred on behalf of the Society shall be fully discharged, and the remaining funds will be contributed to charitable organizations with similar objectives in Singapore which are registered under the Charities Act as the Members of the Society may determine at the General Meeting, unless otherwise allowed by the Commissioner of Charities.

Only Founder & Ordinary Members can attend and vote at this Meeting.
