On 13 June 2025 SIAS has sent questions to Fu Yu Corporation Limited (Fu Yu) on its annual report to help shareholders focus on the key issues facing the company ahead of the company’s Annual General Meeting (AGM) on 27 June 2025.
Shareholders should be particularly interested in key areas such as whether Fu Yu will release the findings from the internal audit of its supply chain services segment before the AGM, as well as the effectiveness of the Board. Other questions relate to the company’s financial performance, corporate strategy, and corporate governance can be found here:

The company has yet to provide answers. The resignation of the three independent directors will definitely be a worry for the shareholders. The board must be constituted in accordance with corporate governance principles expeditiously.
For background information, SIAS had also in January sent questions pertaining to a requisition made by Fu Yu’s largest shareholder for an extraordinary general meeting (EGM) to be convened to remove certain directors and appoint replacements, a request that was rejected by the company.
SIAS’s questions can be found here:

The company’s replies can be found here:

We should be grateful if you could highlight these issues for the benefit of all Fu Yu shareholders so that they can be better prepared when attending the AGM.
Thank you.
