They also provided links to legislations e.g. the Charities Act and are required to sign a Confidentiality Agreement and Disclosure of Conflict-of-Interest declaration. 2 Are there governing board members holding staff appointments?Yes The President is also the CEO of the Association and Founder of theAssociation. The Constitution allows the President to be CEO. The CEO is appointed by the Management Committee (MC). 3 Staff does not chair the Board and does not comprise more than one third of the Board.1.1.3 Not Complied The President who holds a staff appointment as CEO also chairs the MC meetings which is allowed under the Constitution. However, the President and CEO is just one of the 12 members of the MC. All other members are independent. As a safeguard, the constitution also provides that the Chairman appointed by the MC provides an oversight over the President and MC to ensure that they do not breach the constitution or governance practices.2825TH ANNUAL REPORT | 2023 - 2024
